Practice Area:

Hartley is a senior member of our Corporate/Commercial Group and is designated as a Certified Specialist (Corporate and Commercial Law) by the Law Society of Upper Canada. His practice concentrates on corporate commercial law, with an emphasis on corporate governance matters and corporate meetings.

Hartley has been involved in major sales and acquisitions of private corporations, complex shareholders agreements and corporate reorganizations. He currently advises many boards of directors of business and non-profit corporations on due diligence matters, how to fulfill their responsibilities as directors, how to prepare for and conduct meetings of directors, shareholders and members, and how to deal with issues that may arise at these meetings. He has also been retained as an expert witness in several corporate and commercial cases.

Hartley has served as Secretary and Corporate Counsel to numerous corporations and charitable and non-profit associations. He has also been a director of two charitable boards and a member of various committees thereof. Hartley has also been retained to Chair board meetings and meetings of shareholders and members.

He taught at Osgoode Hall Law School and at the Bar Admission Course, and has lectured and chaired programs at the Canadian Bar Association (Ontario) and Law Society of Upper Canada, the Institute of Corporate Directors and The Canadian Institute. He has contributed frequently to various law journals and other publications on corporate commercial topics.

Hartley served as Law Clerk to the Chief Justice of the High Court following admission to the bar, achieved his LL.M. with distinction at University College, London, was appointed as Queen’s Counsel in 1982 and was admitted to the bar of Hong Kong (as a foreign lawyer) in 1994.
